1. Services
Harri Digital provides web design, development, digital strategy, consultancy, ongoing support, and related digital services. The specific services we provide will be outlined in your project proposal or agreement.
2. Client Responsibilities
When working with us, you agree to:
- Provide timely feedback: We need your responses and decisions within agreed timeframes to keep projects on track. Delays in feedback may result in extended project timelines.
- Supply content and materials: You're responsible for providing all content, images, copy, branding materials, and any other assets needed for your project in a timely manner. Content delays will affect project delivery dates.
- Grant necessary access: You must provide access to any systems, platforms, hosting accounts, or third-party services we need to complete the work.
- Make timely decisions: Projects require your input and approval at various stages. We need you to make decisions within reasonable timeframes to avoid delays.
- Communicate clearly: Let us know if requirements change, if you have concerns, or if anything isn't clear. Good communication keeps projects running smoothly.
3. Content & Intellectual Property Rights
Your content: You confirm that you own or have full rights to use any content, images, text, logos, or materials you provide to us. You're responsible for ensuring you have the necessary permissions, licenses, or rights for any third-party content.
Copyright infringement: You agree to indemnify Harri Digital against any claims arising from content you've provided that infringes on someone else's intellectual property rights.
Content ownership: Until final payment is received in full, Harri Digital retains ownership of all work produced. Once payment is complete, content ownership transfers to you, except for any pre-existing materials, third-party components, or tools we've licensed.
Custom platform and module IP ownership: Harri Digital retains ownership of all bespoke platforms, applications and modules that it creates for clients. Transfer of code IP to the client can be discussed if required.
Portfolio use and publicity rights: By working with Harri Digital, you grant us the right to publicly discuss our work together and reference you as a client.
This includes but is not limited to:
- Showcasing completed work in our portfolio and on our website
- Creating case studies detailing the project, challenges, and outcomes
- Posting about the project on social media platforms including LinkedIn, Instagram, and others
- Mentioning you as a client in presentations, proposals, and marketing materials
- Using screenshots, descriptions, and results from the work in promotional content
If you require confidentiality or do not want us to discuss our work publicly, you must explicitly state this in writing before the project begins. We're happy to work under NDA or confidentiality agreements when requested, but this must be agreed upfront.
4. Payment Terms
Standard payment structure: Unless otherwise agreed, we typically require 50% deposit upfront before work begins, with the remaining 50% due within 14 days of project completion.
Project-specific terms: Payment terms may vary depending on the specific project, scope, and agreement. Any variations will be clearly outlined in your proposal or contract.
Late payments: Invoices not paid within 14 days (or the agreed timeframe) may incur late payment fees. We reserve the right to suspend work or access to deliverables until payment is received.
Additional work: Any work outside the original scope will be quoted separately and requires agreement before we proceed.
5. Project Timelines
Estimated timelines: We provide estimated timelines based on the agreed scope and the assumption that you'll meet your responsibilities (feedback, content, access, decisions).
Client delays: If project timelines are extended due to delayed feedback, content provision, or decision-making on your part, we cannot be held responsible for the delayed delivery.
Our delays: If we cause delays, we'll communicate this clearly and work to get back on track as quickly as possible.
6. Refunds & Cancellations
No refunds policy: We do not offer refunds. When you pay for our services, you're paying for our time and expertise. Once that time has been spent, there's nothing to refund.
Discretionary refunds: In exceptional circumstances, refunds may be considered entirely at our discretion. This is not a guarantee and will be assessed case by case.
Project cancellation: If you choose to cancel a project partway through, you remain liable for payment for all work completed up to the cancellation point, plus any committed costs we've incurred on your behalf.
7. Third-Party Services & Limitations
Third-party platforms: We often work with third-party services, hosting providers, plugins, and platforms. We're not responsible for the performance, availability, or changes to these third-party services.
Ongoing costs: Some solutions require ongoing subscriptions or licenses for third-party tools. You're responsible for these costs, and we'll make them clear upfront.
Technical limitations: We'll work within the technical limitations of chosen platforms and systems. If something isn't technically possible, we'll let you know and suggest alternatives.
8. Scope Changes & Revisions
Scope creep: Changes to the original project scope will be quoted as additional work. We're happy to be flexible, but significant changes require a new agreement and additional payment.
Revisions: Each project includes an agreed number of revision rounds. Additional revisions beyond this will be charged separately.
Client-driven changes: If you repeatedly change your mind or requirements, this constitutes new work and will be charged accordingly.
9. Subcontractors & Freelancers
Harri Digital works with a trusted network of freelance specialists and subcontractors to deliver services. By engaging our services, you agree that we may use qualified subcontractors to complete your project. We remain responsible for the quality and delivery of all work, regardless of who completes it.
10. Warranty Disclaimer
All work is provided "as is" without warranties of any kind, either express or implied. While we work to industry standards and test our work thoroughly:
- No guarantees: We cannot guarantee that websites, applications, or digital solutions will be completely error-free or will function perfectly in all environments and circumstances.
- Compatibility: Technology evolves constantly. What works today may require updates or modifications in the future due to changes in browsers, devices, operating systems, or third-party services.
- Testing limitations: We test our work, but cannot test every possible device, browser version, or user scenario. Issues may emerge after launch that weren't apparent during development.
- Your responsibility: Once work is handed over, you're responsible for monitoring and maintaining it. We're happy to provide ongoing support, but this must be arranged separately.
11. Browser & Device Compatibility
Unless otherwise specified in your project agreement:
- Modern browsers: We build and test for modern, up-to-date versions of major browsers (Chrome, Firefox, Safari, Edge). We typically support the last two major versions of each.
- Older browsers: We do not guarantee compatibility with outdated or unsupported browsers (e.g., Internet Explorer).
- Devices: We test responsive designs on common devices and screen sizes, but cannot test every device on the market.
- Specific requirements: If you need support for specific browsers, devices, or assistive technologies, please specify this before the project begins so we can plan accordingly.
12. Ongoing Maintenance & Support
Post-launch responsibility: After project completion and handover, you're responsible for ongoing maintenance, updates, security, and backups unless we've agreed to a separate ongoing support arrangement.
Software updates: Websites and digital solutions require regular updates to maintain security and compatibility. Without ongoing maintenance, functionality may degrade over time and if related to an ecommerce solution, your PCI compliance may be affected.
Support packages: We offer ongoing support and maintenance packages separately. These are not included in project costs unless explicitly stated.
Future changes: Technology changes constantly. Third-party services may update their terms, browsers may change standards, and security requirements evolve. Keeping your digital assets current is an ongoing responsibility.
13. Backups & Data Security
During projects: We take reasonable precautions to protect your data and files during active projects.
After handover: Once a project is complete and handed over to you, you're responsible for maintaining your own backups. We strongly recommend regular automated backups.
Our responsibility: We're not responsible for data loss after handover, or for data loss caused by third-party hosting providers, platforms, or services.
Your responsibility: You're responsible for the security and backup of any systems, accounts, or platforms you control.
14. Data Protection & Privacy
Your data: We handle any personal data you provide in accordance with UK GDPR and data protection laws. See our separate Privacy Policy for full details.
Your obligations: If we build systems that collect or process personal data, you're responsible for ensuring your use of those systems complies with GDPR and relevant data protection regulations.
Data processing: Where we process personal data on your behalf, we act as a data processor and you remain the data controller with full legal responsibility for compliance.
Third-party data: You confirm that you have the right to share any personal data with us that's necessary for project delivery.
15. Force Majeure
We're not liable for delays or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, extreme weather
- Pandemic, epidemic, or public health emergencies
- War, terrorism, civil unrest
- Government restrictions or actions
- Strikes or industrial action
- Failure of third-party services, internet infrastructure, or utilities
- Serious illness or incapacity
In such circumstances, our obligations will be suspended for the duration of the force majeure event. We'll communicate any such delays as soon as reasonably possible.
16. Liability & Indemnification
Our liability: Harri Digital's liability is limited to the total amount paid for the specific project in question. We're not liable for any indirect, consequential, or financial losses.
Your indemnification: You agree to indemnify Harri Digital against any claims, damages, or expenses arising from content you've provided, your use of our work, or your breach of these terms.
Best efforts: We work to the best of our ability using industry-standard practices, but we cannot guarantee specific business results or outcomes from our work.
17. Confidentiality
We respect your confidentiality and won't share sensitive business information without your permission. Similarly, you agree not to share any proprietary processes, methodologies, or confidential information about how we work.
18. Termination
If a dispute arises, we encourage open communication to resolve it directly. If we can't reach a resolution, both parties agree to seek mediation before pursuing legal action.
20. Changes to Terms
We reserve the right to update these terms at any time. Changes will be posted on this page with an updated date. Continued engagement with our services constitutes acceptance of any changes.

These terms are governed by the laws of England and Wales.

For clients who we build and maintain ecommerce stores for, Harri Digital always adhere to PCI compliance best practices.
As required by merchant banks, the ultimate responsibility for ensuring a site is PCI compliant remains with the store owner, not Harri Digital. We do offer a PCI compliance documentation service if required. Contact us for more information.
